ARTICLE I NAME
This organization shall be known as the Men’s Garden Club of Reidsville, Inc.
ARTICLE II OBJECTIVES
The objectives of this club shall be: to devote its energies to the promotion of the full appreciation of gardens and horticulture, and the cultivation of higher ideals among garden devotees; to promote the adoption of higher garden standards in our community for the benefit of individuals; to develop the love of growing plants in the hearts of children, particularly those whose opportunities are restricted; to develop, promote, and complete endure friendships, civic activities and general interest in individual or private gardens, community planting or parks.
ARTICLE III MEMBERSHIP
SECTION 1. There will be two classes of membership: Active Membership and Honorary Membership.
SECTION 2. The active membership of this club shall consist of men of good character and community standing, interested in gardens and horticulture, directly and indirectly. An active member shall pay dues and shall be entitled to all privileges of the club.
SECTION 3. Any man who has performed distinguished service, and who is not an active member of this club, may be elected as an Honorary Member. An Honorary Member shall be entitled to all privileges of the club, except those of voting and holding office.
ARTICLE IV ADMISSION OF MEMBERS
A proposal for membership shall be submitted to the Committee on Membership on an application form supplied by the club and shall bear the endorsement of at least one active member in good standing. Upon favorable action by a two-thirds (2/3) vote of the Committee, a new member shall be notified in writing by the Secretary and request that he forward a check to the Treasurer for his dues.
ARTICLE V DISCIPLINE
An active member being two (2) months in arrears in the payment of dues shall automatically stand suspended and shall be notified in writing by the Treasurer. Such member may be reinstated by prompt payment of amount due. Should thirty (30) more days pass without payment, the Board may order his name dropped from membership and direct the Secretary to notify him in writing.
ARTICLE VI OFFICERS
SECTION 1. The officers of this club shall be a President, a Vice-President, a Secretary, and a Treasurer.
SECTION 2. Each officer shall be an active member in good standing.
SECTION 3. All officers shall enter upon their official duties on the first day of January of each year and shall serve for a term of one year, and/or until their successors shall be duly elected and qualified.
SECTION 4. The duties of the Officers shall be as follows:
(a) The president shall be the Executive Officer of the club, and shall preside over all meetings of the club, and Board of Directors. He shall be ex-officio member of all Standing Committees. He shall perform such other duties as usually pertain to the office of President.
(b) The Vice-President, in the absence of the President, shall preside at all meetings of the club and Board of Directors. The Vice-President shall also perform such other duties as usually pertain to the office, or as may be assigned to him by the President or Board of Directors.
(c) The secretary shall keep the records of membership, attendance, and minutes of the meetings of the club, Board of Directors, and committees. He shall submit to proper officials and committees or to the club, all communications received. He shall do any other duties assigned to him by the President or the Board of Directors.
(d) The Treasurer shall collect all funds due the club and shall deposit the same in the official depositories and shall disperse same on order of the Board of Directors. His accounts and books shall at all times be open to inspection by the President, the Board of Directors and any authorized auditors. He shall make a report at the annual meeting of the club and at such other times as the President or Board of Directors may require. He shall be Chairman of the Finance Committee.
ARTICLE VII BOARD OF DIRECTORS
SECTION 1. The Board of Directors shall consist of the Officers, the Immediate Past President, and six (6) Board members. (If membership of the club drops below twenty-five (25), the Board of Directors will consist of the Officers of the club only).
SECTION 2. Each Director shall be a member in good standing.
SECTION 3. Three Directors shall be elected annually and shall enter upon their official duties on the first day of January following their elections and shall serve for a term of two (2) years for which they are elected, or until successors have been elected and duly qualified.
SECTION 4. The Board of Directors shall determine the policies and activities of the club, take counsel with committees and have general management of the club.
SECTION 5. The board of Directors shall meet once each month, and at the call of the President. At the discretion of the Board, the Committee Chairmen shall meet with the Board of Directors in joint session.
ARTICLE VIII COMMITTEES
SECTION 1. There shall be the following standing committees: Attendance, Finance, Awards, Reception, Membership, Programs, Publicity, and such other committees as the President may deem necessary to better serve the needs of the club.
SECTION 2. Each standing committee shall be composed of not less than three (3) members, and shall serve for a term of one (1) year, commencing on the first day of January. All Committeemen, except the Chairman of the Finance Committee and Chairman of the Program Committee, shall be appointed by the President, subject to approval of the Board of Directors, and may be subjected to removal in the same manner. Each committee shall be responsible to the President and shall make such reports as he may direct.
SECTION 3. Special committees may be appointed by the President and shall perform such duties as may be defined in the order creating such special committees.
ARTICLE IX DUTIES OF STANDING COMMITTEES
SECTION 1. The Committee on Attendance shall promote a full attendance at all meetings and shall personally communicate with members whose attendance is lax.
SECTION 2. The Committee on Finance shall prepare a financial statement for the calendar year and submit it to the Board of Directors and the membership, and shall submit such other recommendations as may be required by the Board of Directors. The Treasurer shall be the Chairman of the Finance Committee.
SECTION 3. The Committee on Reception shall make arrangements for the place of meeting, checking facilities, seating, refreshments, etc, and shall greet members as they arrive at meetings and make arrangements for the proper introduction of all guests.
SECTION 4. The Committee on Awards will select recipients of the awards as set forth in Article X.
SECTION 5. The Committee on Membership shall devise ways and means of maintaining an adequate membership of such standards as are provided in these By-Laws. The committee shall consider all proposals for membership and notify the Secretary of their actions.
SECTION 6. The Committee on Programs shall arrange a program for every meeting of the Club as far in advance as possible, cooperating with the Board of Directors and other committees of Club activities. The Immediate Past President shall be Chairman of this committee.
SECTION 7. The Committee on Publicity shall concern itself with the materials and the media by which the public shall receive a true knowledge of The Men’s Garden Club of Reidsville, its objectives and ideals. The committee shall promote all programs, projects, and meetings of the club.
SECTION 8. The duties of any other committees appointed by the President shall be defined in the order creating such committees.
ARTICLE X AWARDS
The club shall give the following awards: Man of the Year, Lady of the Year, Beautification, Certificate of Honor, Certificate of Appreciation, Sam L. Fairchild Award, and Special Recognition to out-going Presidents serving a second term as President.
SECTION 1. Man of the Year award is given as recognition for outstanding individual service by a member of the club.
SECTION 2. Lady of the Year award is given as recognition to a lady who has given special individual help to the club.
SECTION 3. Beautification award is given as recognition to an individual, group, organization, firm, or city for outstanding landscaping or beautification. As many as needed may be given.
SECTION 4. Certificate of Honor is reserved for members of the club. There are no restrictions. The purpose for which they are used is left to the good taste of the Awards Committee. As many may be awarded as are deemed appropriate.
SECTION 5. Certificate of Appreciation is given to any person who has contributed a service to the club. As many as appropriate may be given.
SECTION 6. Sam L. Fairchild award is given in recognition for dedicated and distinguished service to the art of gardening and to the edification of garden club work. Awarded as needed.
SECTION 7. A plaque or appropriate honor for Special Recognition to an outgoing President serving a second term as President. As needed.
ARTICLE XI MEETINGS
SECTION 1. The club shall hold a monthly meeting on the fourth Monday of each month, beginning the fourth Monday of January and running through the fourth Monday of November. The Board of Directors is authorized to change the date of meeting to any other date in the month they may deem wise. The club may hold such other meetings as the Board of Directors may desire.
SECTION 2. The Annual Meeting of the club shall be the last Monday prior to Thanksgiving of each year. The membership of the Club shall be given at least two weeks notice of the place and date of the Annual Meeting. This will also be the Awards and Ladies Night meeting.
